1. Acceptance of Terms

By accessing or using PromptZap ("Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

2. Description of Service

PromptZap is an AI prompt generation service that helps users create structured prompts for AI models using various enterprise-grade frameworks. The Service includes:

• Web application for prompt generation
• Chrome browser extension for prompt enhancement
• Multiple prompt frameworks and templates
• Prompt history and management features
• Subscription-based access to premium features

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 13 years old (or 16 in the EU) to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

4. Subscription Plans and Billing

4.1 Subscription Plans

We offer the following subscription plans:

• Free Tier: Limited daily prompt generation (subject to usage limits)
• Pro Monthly: Unlimited prompts, monthly billing
• Pro Yearly: Unlimited prompts, annual billing with discount
• Team Plan: Custom pricing for teams (contact sales)

4.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law or as stated in our refund policy
• Prices are subject to change with 30 days' notice to existing subscribers
• Payment is processed securely through Stripe
• You are responsible for all applicable taxes

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless:

• You cancel your subscription before the renewal date
• Payment fails (we will attempt to retry payment)
• We terminate your subscription for violation of these Terms

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the period you've already paid for.

No Refunds: We do not provide refunds for partial billing periods. If you cancel mid-period, you will continue to have access until the period ends.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Generate prompts for illegal, harmful, or malicious purposes
• Attempt to reverse engineer, decompile, or extract source code
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service (bots, scrapers, etc.) without permission
• Share your account credentials with others
• Create multiple accounts to circumvent usage limits
• Generate content that is defamatory, harassing, abusive, or discriminatory
• Violate any terms of service of third-party services we integrate with
• Share prompts containing sensitive information (API keys, passwords, tokens, secrets, PII) publicly in the Community
• Use automated systems to share prompts in the Community (spam, bots, etc.)
• Share prompts that violate community guidelines or contain prohibited content

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, logos, and trademarks, is owned by PromptZap and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not:

• Copy, modify, or create derivative works of the Service
• Use our trademarks or logos without written permission
• Remove any copyright or proprietary notices

6.2 Your Content

You retain ownership of prompts and content you create using the Service ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

• Store, process, and display your User Content to provide the Service
• Use your User Content for analytics and Service improvement (anonymized)
• Back up and maintain your User Content

You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate any third-party rights.

6.3 Community Sharing and Public Content

When you share prompts publicly in our Community feature, you grant the following licenses:

• To PromptZap: A worldwide, non-exclusive, royalty-free license to display, distribute, and use your shared prompts for the purpose of operating the Community feature, including discovery, ranking, and analytics.
• To Other Users: A worldwide, non-exclusive, royalty-free license to view, save, and use your shared prompts for their own purposes.

You retain all ownership rights to your shared prompts. You can remove them from public sharing at any time, which will revoke the licenses above for future use, but will not affect uses that occurred before removal.

Prohibited Content: You may not share prompts that:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Contain hate speech, harassment, or discriminatory content
• Are designed for illegal or harmful purposes
• Contain spam, misleading information, or malware
• Include sensitive information such as API keys, passwords, tokens, or personal identifiable information (PII)

We automatically detect and block sharing of prompts containing sensitive information (API keys, passwords, tokens, etc.) to protect your data and ensure compliance. If sensitive information is detected, you will be notified and the prompt will not be allowed to be shared publicly until the sensitive data is removed.

We reserve the right to remove any shared content that violates these Terms or our Community Guidelines without notice.

7. Service Availability and Modifications

We reserve the right to:

• Modify, suspend, or discontinue the Service at any time
• Change features, functionality, or pricing with notice
• Perform maintenance that may temporarily interrupt Service
• Limit access to certain features based on subscription tier

We do not guarantee uninterrupted or error-free Service. We are not liable for any loss or damage resulting from Service unavailability.

8. Termination

8.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through account settings.

8.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• You fail to pay subscription fees
• We are required to do so by law

8.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account and User Content (subject to data retention policies)
• You remain liable for all charges incurred up to the termination date
• Provisions that by their nature should survive termination will remain in effect

9. Disclaimers and Limitation of Liability

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF GENERATED PROMPTS

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTZAP SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM USE OR INABILITY TO USE THE SERVICE
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9.3 AI-Generated Content

Prompts generated by the Service are created using AI models. We do not guarantee:

• Accuracy or appropriateness of generated prompts
• Results from using generated prompts with AI models
• Compliance with any specific requirements or standards

You are solely responsible for reviewing, editing, and using generated prompts appropriately.

10. Indemnification

You agree to indemnify, defend, and hold harmless PromptZap, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

11.2 Informal Resolution

Before filing a claim, you agree to contact us at info@codezapai.com to attempt to resolve the dispute informally.

11.3 Binding Arbitration

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PromptZap regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or internet failures.
